Client Work: Upon full payment, clients receive full ownership of custom code and deliverables created specifically for their project, excluding:

• Pre-existing Aranimus frameworks, libraries, and tools
• Third-party open-source components (governed by their respective licenses)

Aranimus IP: Our proprietary methodologies, internal tools, and pre-existing code remain our exclusive property.

4. Payment Terms

• Project-Based: 50% upfront, 50% upon completion
• Retainer: Monthly invoicing, due within 15 days
• Late Payments: 1.5% monthly interest on overdue amounts

5. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of the agreement.

6. Warranties & Disclaimers

We warrant that services will be performed in a professional manner consistent with industry standards. However:

• Software is provided “as-is” after acceptance testing
• We do not guarantee specific business outcomes or ROI
• Third-party integrations are subject to their respective terms and availability

7. Limitation of Liability

Aranimus’s total liability for any claim shall not exceed the total fees paid by the client in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

8. Termination

Either party may terminate an engagement with 30 days written notice. Client remains responsible for payment of work completed up to the termination date.

9. Governing Law
